HANGİ TÜR ŞİRKETİ KURMAK DAHA MANTIKLI?


İş fikriniz için doğru şirket türünü tespit etmek zorlu bir süreç olabilir. Kendinize sık sık "Anonim şirket mi yoksa limited şirket mi kuracağım? Nasıl bir yol izlemeliyim?" sorularını soruyor olabilirsiniz. Girişiminize hangi şirket türünün daha uygun olacağını yeni yazı dizimizde gelin birlikte keşfedelim.

Bir fikriniz var, hayata geçirmek istiyorsunuz ve ileriye dönük hedefler koymaya başladınız. Bir girişimciyi yatırımcılar nezdinde cazip kılan en önemli şeylerden biri hedeflerini başarmak için izlenmesi gereken yolu bilmesidir.

Bu yazımızın amacı, fikri ve hedefi olan girişimciler başta olmak üzere inandığı bir fikri olan herkese, fikirlerinin vücut bulmasına vesile olan “şirket” türlerinden en uygununu seçmesine yardımcı olabilmektedir. Bunun için, Türk ticari hayatının barındırdığı şirket türlerinin kısa birer tanımı ile başlayalım.

Girişimim için seçebileceğim şirket türleri neler?

Türk ticari hayatında ticari işletmeler ilk etapta tüzel kişiliğin olup olmamasına göre değişir. Türkiye ekonomisinde önemli rol sahibi ticari işletmelerin hemen hemen hepsinin tüzel kişiliği vardır. Bu noktada kısaca tüzel kişiliğin ne demek olduğunu da hatırlayalım.

Tüzel kişilik, ticari veya sosyal olmak üzere belli bir amaç üzerine bir araya gelmiş birden fazla kişinin ve mal varlığının oluşturduğu kurumların kanun karşısında tek bir kişi olarak değerlendirilmesidir.

Tüzel kişiliği olan şirketler içerisinde ise girişim sektöründe çoğunlukla üç tip şirket görülür;

  • Şahıs şirket
  • Limited Şirket
  • Anonim Şirket

Bu üçü arasındaki en önemli fark şudur: Şahıs şirketlerin ortakları şahıs şirketin borçlarından bütün mal varlıklarıyla sorumluyken, Limited ve Anonim Şirketlerde şirket, borçlarından kendi mal varlığıyla sorumludur ve ortakların mal varlığına gidilmez.

Diğer bir deyişle Limited ve Anonim şirketlerde sadece şirket batar ve şirketin ortakları, tabiri caizse, ellerini kollarını sallayarak bu borçtan çıkarlar; ancak şahıs şirketlerde, gemiyle birlikte ortaklar da batar. Bu ince ayrım, özellikle risk alacak olan girişimciler için dikkat edilmesi gereken en önemli hususlardan biridir.

Şahıs şirketinin anonim ve limited şirketlerden farkı nedir?

Eğer şahıs şirket olmak için çok önemli bir sebebiniz bulunmuyorsa, girişiminizin bir aşamada Limited Şirket veya Anonim Şirket olması gerekecektir. Zira belirli bir ticari hacmin üzerine çıkıldığında daha iyi bir yönetim modeli, daha efektif bir çalışma mekanizması ve en önemlisi, daha stabil bir işleyiş tercih edilmelidir.

Ancak ilgilileri için şahıs şirketlerden bahsedeceğiz. Şahıs şirketler tüzel kişilikleri olan, Limited ve Anonim Şirketlere göre daha küçük çaplı, ortak sayısı belirli olan ve ortaklarının sorumlulukları sınırsız olan şirket tipleridir.

Şahıs şirketlerde bir girişimci için en büyük handikap, ortaklarının gerçek kişi olma zorunluluğudur. Bu zorunluluk nedeniyle çoğunlukla sermaye şirketi olan yatırımcılar, hissedar olamayacakları bir yapıyı desteklemekte çekinmektedir.

Limited Şirket ve Anonim Şirket’ler ise şahıs şirketlerden farklı mekanizmalara sahiptir. Bu şirketlerin bir sermayesi, kuruluş prosedürleri, tabi oldukları denetlemeler, müdürler, ortaklar, yöneticiler gibi farklı hücrelere ayrılmış bir yapısı vardır. Bu farklı hücrelerin bir araya gelmesiyle vücut bulan şirketler, ekonomik gelişimin vazgeçilmez aktörleridir.

Risklerle dolu ticari hayatta bu aktörler sayesinde tacirler, artık daha güvenli ve ticari risklerin kendi yaşantılarını daha az etkilediği bir sisteme kavuşmuşlardır. Sermaye şirketlerinde şirket, borçlarından sadece kendi malvarlığı kadar sorumludur. Bu kapsamda ticari hayata girmek isteyen tacirler, kendi malvarlıklarını güvence altına alarak daha sağlam ticari ilerlemeler kat edebilmektedir.

Aynı şekilde yatırımcılar, sermaye şirketlerine hissedar olarak hem şirket nezdindeki karar mekanizmalarına dahil olabilmekte, hem de şirkete yapılan yatırım karşılığında edindiği hisseler ile yapmış olduğu yatırımı malvarlığı değeri olarak güvence altına alabilmektedir.

Hangi şirket türü girişimciler için daha cazip?

"Peki Limited Şirket ile Anonim Şirket arasından hangisi girişimciler için daha caziptir?" dediğinizi duyar gibiyiz. Limited Şirket ile Anonim Şirket arasındaki en belirgin farklar ortak sayısı, ortakların sorumlulukları ve hisse devrinde görülmektedir. Anonim Şirket’lerde ortak sayısında üst sınır yokken, Limited Şirket’lerde bu üst sınır 50’dir.

Anonim Şirket’lerde şirket ortakları sermaye borçlarını ödedikten sonra kamu borçlarından sorumlu olmazken Limited Şirket’lerde şirket ortakları SGK Primi, Vergi Borcu ve benzeri kamu borçlarından taahhüt ettikleri sermaye oranıyla sorumludurlar. Hisse devri ise Limited Şirket’lerde Anonim Şirket’ye kıyasla daha meşakkatlidir. Limited Şirket’lerde şirket hisse devirlerinin noter huzurunda yapılması gerekmektedir.

Halbuki Anonim Şirket’lerde salt bir hisse devir sözleşmesi yapılması yeterli olmaktadır. Limited Şirket ve Anonim Şirket arasındaki farklara bir sonraki yazımızda daha derin eğileceğiz.

Sonuç olarak, yatırımcı ve girişimci bakış açısından, ticari risklere yaklaşımlar göz önüne alınarak en makul seçimin sermaye şirketleri olan Limited Şirket ve Anonim Şirket’ler olduğu aşikardır. Bununla birlikte, fikrinizi küçük çaplı da olsa harekete geçirdikten sonra şirketleşmeye karar verecekseniz şahıs şirketin güzel bir başlangıç basamağı olabilmesi de mümkündür.

WHICH TYPE OF COMPANY IS MORE LOGICAL TO ESTABLISH?


Determining the right company type for your business idea can be a challenging process. You may often ask yourself "Should I establish a joint-stock company or a limited company? What path should I follow?" Let's explore together which company type is more suitable for your venture in our new article series.

You have an idea, you want to realize it, and you have started setting future goals. One of the most important things that makes an entrepreneur attractive to investors is knowing the path to achieve their goals.

The purpose of this article is to help entrepreneurs with an idea, as well as anyone who believes in an idea, to choose the most appropriate "company" type that will lead to the realization of their ideas. For this, let's start with a brief definition of the company types that Turkish commercial life includes.

What are the company types that I can choose for my venture?

Commercial enterprises in Turkish commercial life vary depending on whether they have legal personality in the first place. Most of the commercial enterprises that are important players in the Turkish economy have legal personality. Let us briefly remember what legal personality means.

Legal personality is the evaluation of institutions formed by more than one person and assets, whether commercial or social, under the law as a single person for a specific purpose.

Within companies with legal personality, there are generally three types of companies seen in the venture sector:

  • Sole proprietorship
  • Limited Company
  • Joint-Stock Company

The most important difference between these three is: The partners of sole proprietorships are responsible for the debts of the sole proprietorship with all their assets, while in Limited and Joint-Stock Companies, the company is responsible for its debts with its own assets and the partners' assets are not affected.

In other words, in Limited and Joint-Stock Companies, only the company goes bankrupt and the partners, so to speak, get out of that debt by waving their hands and feet; however, in sole proprietorships, the partners also go bankrupt with the ship. This subtle distinction is one of the most important issues that should be considered, especially by entrepreneurs who will take risks.

What is the difference between a sole proprietorship and joint-stock and limited companies?

If you do not have a very important reason to become a sole proprietorship, your venture will eventually need to be a Limited Company or Joint-Stock Company. Because when a certain commercial volume is exceeded, a better management model, a more effective working mechanism, and most importantly, a more stable operation should be preferred.

However, we will talk about sole proprietorships for those interested. Sole proprietorships are types of companies with legal personality, smaller in scale than Limited and Joint-Stock Companies, with a certain number of partners and unlimited liabilities of the partners.

The biggest handicap for an entrepreneur in sole proprietorships is the obligation that their partners must be real persons. Due to this obligation, investors who are mostly capital companies are hesitant to support a structure in which they cannot be shareholders.

Limited Companies and Joint-Stock Companies, on the other hand, have different mechanisms than sole proprietorships. These companies have a structure divided into different cells such as capital, establishment procedures, audits they are subject to, managers, partners, and directors. Companies that come to life by bringing together these different cells are indispensable actors of economic development.

In the commercial life full of risks, thanks to these actors, traders have now reached a system where they are safer and commercial risks affect their lives less. In capital companies, the company is only responsible for its own assets for its debts. In this context, traders who want to enter commercial life can secure their own assets and make more solid commercial progress.

Similarly, investors can become shareholders in capital companies and can both participate in decision-making mechanisms of the company and secure the investment they have made with the shares they have acquired in return for the investment.

Which company type is more attractive for entrepreneurs?

"We hear you asking which one is more attractive for entrepreneurs between Limited and Joint-Stock Companies," you may ask. The most obvious differences between Limited Companies and Joint-Stock Companies are seen in the number of partners, the liabilities of the partners, and the transfer of shares. While there is no upper limit on the number of partners in Joint-Stock Companies, this upper limit is 50 in Limited Companies.

In Joint-Stock Companies, the company partners are not responsible for public debts after paying off their capital debts, while in Limited Companies, the company partners are responsible for social security premiums, tax debts, and similar public debts they have undertaken with the capital rate. The transfer of shares is more complicated in Limited Companies compared to Joint-Stock Companies. In Limited Companies, share transfers must be made in the presence of a notary.

However, in Joint-Stock Companies, a mere share transfer agreement is sufficient. We will delve deeper into the differences between Limited Companies and Joint-Stock Companies in our next article.

As a result, considering the perspectives of investors and entrepreneurs on commercial risks, it is clear that capital companies, which are Limited Companies and Joint-Stock Companies, are the most reasonable choice. However, if you decide to start with a sole proprietorship after initiating your idea, which can be a good starting point for your company, even if it is small-scale, is also possible.
