LİMİTED ŞİRKET NEDİR? NASIL KURULUR?


Limited şirket, Türkiye’de pek çok nedenle tercih edilen bir şirket türüdür. “Limited” kelimesi sınırlı anlamına gelir; limited şirketlerde de ortakların sorumluluğu, kural olarak, şirkete taahhüt ettikleri sermaye payı ile sınırlıdır. Şirket tek ortakla kurulabileceği gibi birden fazla ortakla da faaliyet gösterebilir.

Bu yapı sayesinde ortaklar, şirketin borç ve yükümlülükleri nedeniyle (genel kural olarak) kişisel malvarlıklarıyla sorumlu tutulmaz; böylece girişimciler için daha öngörülebilir bir risk çerçevesi sunar. Kuruluş sürecinin görece pratik olması ve yönetim/ortaklık yapısında sağladığı esneklik de limited şirketi öne çıkaran diğer unsurlardır.

Limited Şirket Nedir?

Limited şirket, sınırlı sorumluluk esasına dayanan bir sermaye şirketidir. Şirket çatısı altında gerçek kişiler bulunabileceği gibi tüzel kişiler de ortak olabilir. Limited şirket, bir ticaret unvanı altında kurulur; sermayesi belirli olup, bu sermaye ortakların paylarının toplamından oluşur.

Limited şirketlerde ortakların sorumluluğu, kural olarak, şirkete taahhüt ettikleri sermaye payı ile sınırlıdır. Bu nedenle şirketin özel hukuk borçları nedeniyle ortakların kişisel malvarlıklarına gidilmesi genel olarak söz konusu olmaz. Ancak şirketten tahsil edilemeyen kamu borçları (ör. vergi ve SGK borçları) varsa, ortaklar sermaye payları oranında sorumlu tutulabilir. Ayrıca ortaklar, şirket sözleşmesinde yer alan ek ödeme veya diğer yükümlülüklerden de sorumludur.

Limited şirkette iki temel organ bulunur: Genel Kurul ve Müdür(ler) (uygulamada “müdürler kurulu” olarak da anılır).

  • Genel Kurul, şirketteki her pay sahibinin katılımıyla toplanır ve şirketin geleceğini etkileyen kritik kararları alır. Örneğin; şirket sözleşmesinde değişiklik yapılması, müdürlerin seçimi/azli, şirketin feshi veya bağımsız denetçi seçimi gibi konular genel kurulda görüşülür.
  • Müdür(ler) ise şirketin günlük işleyişini yönetir ve şirketi temsil eder. Tüm ortakların müdür olması şart değildir; tek bir müdür atanabileceği gibi birden fazla müdür de görevlendirilebilir. Bununla birlikte, müdürlerden en az birinin şirket ortağı olması zorunludur.

Limited Şirket Özellikleri Nelerdir?

Limited şirketin temel özelliklerini aşağıdaki maddelerde özetledim. Bu başlıklar, şirketin ortaklık yapısı, sermaye düzeni ve sorumluluk çerçevesi hakkında hızlı bir çerçeve sunar:

  • Ortak sayısı: Limited şirket tek ortakla kurulabileceği gibi birden fazla ortakla da kurulabilir. Ancak ortak sayısı en fazla 50 olabilir.
  • Ortakların niteliği: Ortaklar gerçek kişi olabileceği gibi tüzel kişi de olabilir. Örneğin, iki şirket birlikte ortaklık kurmak istiyorsa limited şirket bu yapı için uygun bir seçenek olabilir.
  • Asgari sermaye ve ödeme süresi: Limited şirket kurmak için en az 50.000 TL sermaye gerekir. Taahhüt edilen sermayenin nakden konulan kısmı, şirket tescil edildikten sonra 24 ay içinde ödenmelidir. Sermayenin tamamının kuruluş anında ödenmesi zorunlu değildir; ödeme planı şirket sözleşmesinde düzenlenebilir veya müdürler tarafından belirli bir takvime bağlanabilir.
  • Sorumluluk yapısı: Kural olarak ortaklar, şirketin özel hukuk borçlarından kişisel malvarlıklarıyla sorumlu değildir; sorumluluk, taahhüt edilen sermaye payı ile sınırlıdır. Ancak şirketten tahsil edilemeyen kamu borçları (ör. vergi, SGK) bakımından ortaklar, sermaye payları oranında sorumlu tutulabilir.
  • Şirket sözleşmesi zorunluluğu: Limited şirketin işleyişini belirleyen bir şirket sözleşmesi bulunur. Bu sözleşme, şirketin temel unsurlarını içerir ve ticaret siciline tescil edilerek kuruluş sürecinde merkezi bir rol oynar.
  • Halka arz kısıtı: Limited şirketler, anonim şirketlerden farklı olarak halka arz edilemez ve borsada işlem göremez.
  • Pay devri ve onay: Ortak payını devretmek istediğinde, kural olarak genel kurul onayı gerekir. Genel kurul onay vermedikçe pay devri yapılamaz; onay verilirse paylar şirket dışındaki kişilere de devredilebilir.
  • Payların niteliği (nama yazılı): Limited şirketlerde paylar nama yazılıdır. Bu durum, ortaklık yapısının daha izlenebilir olmasına yardımcı olur; payın devri ve hak sahipliği daha net takip edilebilir.

Limited Şirket Neden Tercih Edilir?

Limited şirketin tercih edilmesinin birçok nedeni vardır. Şirketin tek ortakla kurulabilmesi, özellikle bireysel girişimciler için önemli bir kolaylık sağlar. Bunun yanında ortakların sorumluluğunun genel kural olarak taahhüt ettikleri sermaye payı ile sınırlı olması, kişisel malvarlığının korunmasına katkıda bulunur ve girişim riskini daha öngörülebilir hâle getirir.

Anonim şirketlerle kıyaslandığında, limited şirketlerde çoğu zaman daha az bürokratik işlem ve daha pratik bir yönetim yapısı bulunur. Kuruluşla birlikte şirket, faaliyet konusunu da içerecek şekilde bir ticaret unvanı edinir ve bu unvan üzerinden ticari faaliyetlerini yürütür.

Ayrıca limited şirketler kurumlar vergisi mükellefidir. Bu sayede elde edilen kârdan kurumlar vergisi düşüldükten sonra kalan tutar, ortaklara kâr payı olarak dağıtılabilir. Kâr payının vergilendirilmesi bazı durumlarda gelir vergisine kıyasla daha avantajlı olabildiğinden, bu durum da limited şirketi cazip kılan unsurlardan biridir.

Limited şirketlerde önemli kararlar, ortakların katılımıyla toplanan genel kurul tarafından (çoğunlukla) oy çokluğu ile alınır. Bu yapı, şirket yönetiminde daha katılımcı ve dengeli bir karar alma mekanizması oluşturur.

Limited Şirketlerde Ortaklık Nasıldır?

Limited şirketi tek başınıza kurabileceğiniz gibi en fazla 50 ortak ile de kurabilirsiniz. Ortaklar şirket borçlarından sorumlu değildir ve sadece şirket kurulumunda taahhüt ettikleri esas sermaye paylarını ödemekle yükümlüdürler. Limited şirketlerin ortakları kamu borçlarından sermayeleri oranında sorumludurlar. Şirket, esas sermaye paylarını içeren bir pay defteri tutmalıdır. Bu defterin içeriğini; ortakların adları, adresleri, her ortağın sahip olduğu esas sermaye payının sayısı, devirleri ve geçişleri durumunda itibari değerleri, grupları ve esas sermaye payları üzerindeki intifa ve rehin hakları ve bu hakların sahiplerinin adları ile adresleri oluşturmaktadır.

Limited şirketlerde sermaye en az 10.000 TL olmalıdır ve her ortağın esas sermaye payının değeri 25 TL ve katları şeklinde olması zorunludur. Ortakların taahhüt ettikleri sermaye paylarının en az 1/4’ü tescilden önce, kalan kısmı ise şirket tescilinden sonraki 24 ay içerisinde ödenmelidir.

Şirketin yönetimi ve temsili şirket sözleşmesi ile düzenlenir. Müdür sıfatını taşıyan bir veya birden fazla ortağa, tüm ortaklara, hatta üçüncü kişilere şirket yönetimi ve temsili verilebilir. Ancak en azından bir ortağın yönetim hakkı ve temsil sorumluluğu olmalıdır. Kararlar ise oy çokluğu ile alınmaktadır.

Limited Şirket Kuruluşu için Gerekli Belgeler Nelerdir?

Limited şirketin kurulabilmesi için bazı belgelerin hazırlanması gerekir. Limited şirket kuruluşu için gerekli belgeler genel olarak şu şekildedir:

  • Şirketin kurulabilmesi için merkez adresinin, şirketin sermaye tutarının, ortakların sermaye oranlarının, şirket temsilcisinin ya da şirket unvanının yazıldığı kuruluş bildirim formu hazırlanmalıdır.
  • Şirketin ortakları gerçek kişilerse farklı tüzel kişilerse farklı belgeler gerekir. Tüzel kişilerin kurduğu limited şirketler için oda kayıt beyannamesi sunulmalıdır.
  • Bütün ortakların kişisel bilgilerinin ibraz edilmesi gerekir. Her ortağa ait ikametgah belgesi, vesikalık ve kimlik fotokopisi verilmelidir.
  • Eğer müdürler kurulu üyeleri içinde ortak olmayan biri varsa bu görevi kabul ettiğine dair yazılı bir beyan vermesi gerekir. Şirket müdürlerinin imza beyannameleri olmalıdır.
  • Şirketin kuruluşu sırasında oluşturulan sözleşmenin noter tasdikli bir şekilde ibraz edilmesi gerekir.
  • Eğer şirket merkezi kirada ise kira kontratını da vermelisiniz. Eğer merkez binasının sahibi şirketse tapu fotokopisine ihtiyacınız vardır.
  • Ortaklar sermayelerini yatırdıklarına dair dekont vermelidir. Rekabet Kurumuna da belirli bir payın ödenmesi gerekir. Bu pay ödendikten sonra dekontu gösterilmelidir.

Limited Şirket Nasıl Kurulur?

Limited şirketi birçok adımı takip ederek rahatlıkla kurabilirsiniz. Limited şirket kolay kuruluş süreci ve esnek yapısıyla birçok kişi tarafından tercih edilir. Limited şirket kurarken bazı kurallara dikkat etmeniz gerekir. Kuruluş sürecinin nasıl olduğunu merak ediyorsanız aşağıdaki maddeleri inceleyerek süreç hakkında fikir edinebilirsiniz:

  • Limited şirketi kurmadan önce ilk olarak unvan seçimi yapılmalıdır. Unvan, kurulan şirkete göre değişiklik gösterebilir. İşletmenin konusunu ve şirketin türünü gösteren ibarelerin hepsi Türkçe olduğu ve belirli kuralları yerine getirdiği takdirde serbest bir şekilde seçilebilir.
  • Şirket unvanında Türk, Milli, Türkiye ya da Cumhuriyet gibi kelimelerin kullanılması isteniyorsa bunun için ilk önce Bakanlar Kurulundan onay alınmalıdır. Bununla beraber bu unvanın önüne Türkçe ya da yabancı dilde bir isim getirilebilir.
  • Şirket kurulurken imza yetkisi bir ya da birden fazla kişiye verilebilir. Eğer kuruluş sırasında şirketin ortakları bulunmak istemiyorsa vekaletname vererek kendileri yerine kurulma işlemini başkalarının gerçekleştirmesini sağlayabilir.
  • Limited şirkette her ortam sermayelerinin on binde dördünü Rekabet Kurumuna yatırmak zorundadır. Örneğin, bir limited şirketin sermayesi 100.000 TL ise Rekabet Kurumuna 40 TL yatırmak zorundadır.
  • Kurulmadan önce limited şirkette bir şirket ana sözleşmesi yapılmalıdır. Bu sözleşmede şirketin adı, merkezi, amacı, faaliyet alanı, sermayesi, ortakların hakları, yönetim kurulunun oluşumu/görevleri, şirketin feshi/tasfiyesi ve daha birçok bilgi yer alır.
  • Şirket kuruluş dilekçesi yazılmalıdır. Şirket kuruluş dilekçesi yazıldıktan sonra en yakın ticaret sicili müdürlüğüne bu belge iletilmelidir.
  • Limited şirket kurulduktan sonra ya ticaret odasına kayıt yaptırmalıdır.

Limited Şirket Kuruluş Maliyeti Nedir?

Limited şirketin kuruluş maliyeti her yıl olduğu gibi 2026 yılında da değişikliğe uğrar. Sermaye miktarı kanunlarla minimum bir miktar üzerinden sınırlandırılır. Bununla beraber sermayenin yanı sıra kuruluş sırasında da bazı maliyetler ortaya çıkabilir. Ayrıca limited şirket kurarken avukat masrafları gibi ek ödemelerle de karşılaşabilirsiniz. Limited şirketi kurmayı düşündüğünüz ilde de masraflar farklılık gösterebilir. Kuruluş maliyeti tek seferliktir. Şirketi kurduktan ve adımları tamamladıktan sonra tekrardan aynı masrafları yapmanıza gerek kalmaz. Limited şirketin kuruluş masrafları genel olarak şu şekildedir:

  • Limited şirket kurarken kuruluş vekaleti masrafınız bulunur. Kuruluş vekaleti, şirketi kurması için birine vekalet verdiğinizde notere ödemeniz gereken bir tutardır.
  • Şirket kurulurken gerçek kişilerin imza beyannamelerinin alınması gerekir. Her ortak için ayrı düzenlenen bu beyannameler için de notere ücret ödemesi yapmanız gerekir.
  • Sermayenizin on binde dördünü Rekabet Kurumuna ödemelisiniz.
  • Ticaret ya da sanayi odasına kayıt yaptırırken de belirli bir ücret ödemeniz gerekir. Bu ücretlerin ne olduğu bulunduğunuz şirkete göre değişiklik gösterebilir.
  • Limited şirket kurulurken genellikle mali müşavirden yardım alınır. Mali müşavire ödenecek olan ücret de şirketin yapısına ve sürece göre farklılık gösterebilir.

Limited Şirket Kurmak için Ne Kadar Sermaye Olmalı?

Limited şirket, sermaye odaklı bir ortaklık yapısına sahiptir. Ortakların her biri, şirkete taahhüt ettikleri sermaye payı oranında şirkete karşı yükümlülük üstlenir. Bununla birlikte, şirket sermayesinin asgari tutarı mevzuatla belirlenmiştir.

Önceki yıllarda limited şirket kurmak için en az 10.000 TL sermaye yeterliyken, 2025 yılı itibarıyla asgari sermaye tutarı 50.000 TL’ye yükselmiştir. Dolayısıyla 50.000 TL’nin altında bir sermaye ile limited şirket kurulması mümkün değildir.

Bu yönüyle limited şirket, anonim şirkete kıyasla daha erişilebilir bir seçenektir: anonim şirketlerde asgari sermaye tutarı 250.000 TL olduğundan, limited şirket daha düşük sermaye ile şirketleşmek isteyen girişimciler için avantaj sağlar.

Limited Şirketi Vergi Oranları Nedir?

Limited şirketler gelir vergisi ödemez; bunun yerine kurumlar vergisi mükellefidir. Bu durum, özellikle gerçek kişi işletmelerde (ör. şahıs şirketi) görülen artan oranlı gelir vergisi tarifesine kıyasla, vergi planlamasını daha öngörülebilir hâle getirebilir.

2026 yılında kurumlar vergisi oranı %25 olarak uygulanır. Bu oran, kural olarak şirket kârı arttıkça değişmez; dolayısıyla belirli bir seviyenin üzerindeki kârlılıkta, artan dilim nedeniyle yükselen gelir vergisine tabi işletmelere göre bazı senaryolarda avantaj sağlayabilir.

Limited şirketlerde öne çıkan bazı temel oran ve yükümlülükler aşağıdaki gibidir:

  • Kurumlar vergisi: %25 (sabit oran)
  • Geçici vergi: 3 aylık dönemlerde, kurumlar vergisi oranı üzerinden hesaplanır
  • KDV: Mal ve hizmetin türüne göre %1, %10 veya %20
  • Stopaj (tevkifat): Ödeme türüne göre değişmekle birlikte, örneğin kira ödemelerinde çoğu durumda %20

Özetle, limited şirketlerin sabit oranlı kurumlar vergisi rejimi, gelir büyüdükçe artan dilimlerle yükselen gelir vergisine kıyasla daha öngörülebilir bir yapı sunabilir. Ancak hangi şirket türünün daha avantajlı olacağı; kârlılık, gider yapısı, ortakların kâr dağıtım planı ve sektör gibi değişkenlere göre farklılaşır.

Limited Şirket Hangi Vergileri Öder?

Limited şirket sahiplerinin sorumlulukları yalnızca kurumlar vergisiyle sınırlı değildir. Faaliyet türüne, yapılan işlemlere ve çalışan durumuna göre farklı vergiler ve beyan yükümlülükleri doğabilir. Limited şirketlerde en sık karşılaşılan vergiler/kesintiler genel olarak şunlardır:

  • Damga Vergisi: Kira sözleşmesi, hizmet sözleşmesi, vekâletname, ihale/satın alma süreçleri gibi birçok hukuki işlemde gündeme gelebilir. Damga vergisinin hangi işlemde, hangi oranla uygulanacağı belgenin türüne göre değişir.
  • Katma Değer Vergisi (KDV): Mal veya hizmet satışlarında hesaplanan tüketim vergisidir. Şirket, KDV’yi nihai tüketici adına tahsil eder ve beyan ederek devlete öder. KDV oranı; mal/hizmetin niteliğine göre %1, %10 veya %20 olabilir.
  • Geçici Vergi: Kurumlar vergisinin yıl içindeki dönemsel (genellikle üçer aylık) avans ödemesidir. Dönem sonunda hesaplanan kurumlar vergisinden mahsup edilir; yani aynı kazanç üzerinden “ikinci kez” vergi doğurmaz, yıl içi nakit akışını düzenler.
  • Kurumlar Vergisi: Limited şirketler gelir vergisine değil, kurumlar vergisine tabidir. Yıllık kurumlar vergisi beyannamesi, ilgili yılın kapanışından sonra yasal süresi içinde verilir (takvim yılı kullanan şirketlerde genellikle Nisan ayında).
  • Muhtasar / Muhtasar ve Prim Hizmet Beyannamesi: Şirketin yaptığı ödemeler üzerinden kesilen vergilerin (ör. ücret stopajı, serbest meslek ödemeleri stopajı vb.) ve çalışanlara ilişkin SGK bildirimlerinin beyan edildiği beyannamedir. Beyan dönemleri şirketin durumuna göre aylık veya üç aylık olabilir.
  • Stopaj (Gelir Vergisi Tevkifatı) – özellikle kira stopajı: Şirketin kiraladığı işyeri için yaptığı ödemelerde, mevzuatın öngördüğü durumlarda stopaj kesintisi doğabilir. Uygulama ve oranlar, kiralama türüne ve tarafların durumuna göre değişebilir.

Özetle; limited şirketlerin ödeyeceği vergiler, şirketin kârlılığı, sektörü, yaptığı işlem türleri, çalışan sayısı ve kiralama/ödemelerin niteliği gibi unsurlara göre farklılaşabilir.

Limited Şirket Ne Kadar Vergi Öder?

Limited şirketlerin ödeyeceği vergiler, elde edilen kazanca ve yapılan işlemlere göre değişebilir. Bununla birlikte şirketler, ilgili mevzuatta belirlenmiş oranlar üzerinden vergi hesaplar ve beyan eder.

Örneğin, bir işletme yıl boyunca 2.000.000 TL vergiye tabi kâr elde ettiyse, %25 kurumlar vergisi oranı esas alındığında ödemesi gereken kurumlar vergisi 500.000 TL olur.

Benzer şekilde KDV de yapılan satışın türüne ve uygulanan orana göre hesaplanır. Örneğin, %20 KDV oranına tabi bir ürün/hizmet satışından 200.000 TL (KDV hariç) ciro elde edildiyse hesaplanan KDV tutarı 40.000 TL’dir.

Kurumlar vergisi mükelleflerinin yıl içinde yaptıkları geçici vergi ödemeleri de (dönemsel kâr üzerinden) kurumlar vergisi oranı dikkate alınarak hesaplanır. Örneğin, limited şirket 2024 yılının ilk 3 ayında 500.000 TL kâr elde ettiyse, bu döneme ilişkin geçici vergi 125.000 TL olarak hesaplanır.

Bunun yanında, çalışanı olan işletmeler Muhtasar ve Prim Hizmet Beyannamesi ile ücretlerden kesilen vergileri ve SGK bildirimlerini beyan eder. Örneğin 5 çalışanı olan bir limited şirket, her dönem çalışan ücretlerinden yapılan kesintileri ve primleri beyan ederek ilgili tutarları öder. Ödenecek toplam tutar; çalışanların brüt ücretleri, prim matrahları, teşvikler ve kesinti oranlarına göre farklılık gösterebilir.

Limited ile Anonim Şirket Arasındaki Farklar Nelerdir?

Limited şirket ile anonim şirket arasında; sermaye yapısı, ortaklık düzeni, pay devri ve halka arz imkânı gibi birçok başlıkta önemli farklar bulunur. Aşağıda en temel ayrımları, daha anlaşılır bir çerçevede özetledim:

  • Halka arz / borsa: Limited şirketler halka arz edilemez. Anonim şirketler ise gerekli şartları sağladığında halka açılabilir ve payları borsada işlem görebilir.
  • Asgari sermaye: Anonim şirket kurmak için asgari sermaye 250.000 TL’dir. Limited şirkette ise asgari sermaye 50.000 TL’dir.
  • Ortak sayısı sınırı: Limited şirketlerde ortak sayısı en fazla 50 olabilir. Anonim şirketlerde ise ortak sayısı açısından bir üst sınır bulunmaz.
  • Ortakların sorumluluğu (özellikle kamu borçları): Anonim şirkette pay sahiplerinin temel yükümlülüğü, taahhüt ettikleri sermaye payını ödemektir. Limited şirkette ise şirketten tahsil edilemeyen kamu borçları bakımından ortaklar, sermaye payları oranında sorumlu tutulabilir. Örneğin bir ortağın payı %50 ise, kamu borçlarının %50’si oranında sorumluluk gündeme gelebilir.
  • Tescil öncesi sermaye blokesi: Anonim şirketlerde, belirli durumlarda tescil öncesinde sermaye tutarının bankaya yatırılarak bloke edilmesi gerekebilir. Limited şirketlerde bu yönde genel bir zorunluluk bulunmaz.
  • Avukat bulundurma zorunluluğu: Anonim şirketlerde (sermaye büyüklüğüne bağlı olarak) avukat bulundurma zorunluluğu doğabilir. Limited şirketlerde ise benzer bir zorunluluk kural olarak yoktur.
  • Pay/hisse devri ve vergilendirme: Pay devri süreçleri ve vergilendirme bakımından da iki tür arasında farklılıklar vardır. Örneğin, bazı şartlarda (kurumların payı belirli süre elde tutması gibi) anonim şirket paylarının elden çıkarılmasında vergi avantajı gündeme gelebilirken, limited şirket pay devrinde vergilendirme uygulaması daha farklı ilerleyebilir.
  • Pay senedi türü: Anonim şirketlerde hem hamiline hem de nama yazılı pay senedi bulunabilir. Limited şirketlerde ise paylar kural olarak nama yazılıdır.

Emekliler, Türkiye’de yasal olarak limited şirket kurabilir ve ticari faaliyetlerde bulunabilir. Sosyal Güvenlik Kurumu (SGK) mevzuatına göre emekli bir kişi, şirket ortağı veya müdürü olabilir.

A limited company is a highly preferred type of company in Turkey for many reasons. The word "limited" means restricted; as a general rule, the liability of the partners in limited companies is limited to the capital share they have committed to the company. Why is a Limited Company Preferred?

There are many reasons why a limited company is preferred. The fact that the company can be established with a single partner provides a significant convenience, especially for individual entrepreneurs. In addition, the fact that the liability of the partners is limited to the capital share they have committed as a general rule contributes to the protection of personal assets and makes the entrepreneurial risk more predictable.

Compared to joint-stock companies, limited companies often have fewer bureaucratic procedures and a more practical management structure. Upon establishment, the company acquires a trade name that includes its field of activity and conducts its commercial activities under this name.

The content of this ledger consists of the names and addresses of the partners, the number of capital shares owned by each partner, their nominal values in case of transfers and transitions, their groups, and the usufruct and pledge rights on the capital shares, as well as the names and addresses of the owners of these rights.

In limited companies, the capital must be at least 10,000 TL, and the value of each partner's capital share must be 25 TL and its multiples. At least 1/4 of the capital shares committed by the partners must be paid before registration, and the remaining part must be paid within 24 months after the company registration.

The management and representation of the company are regulated by the company agreement. The management and representation of the company can be given to one or more partners holding the title of manager, to all partners, or even to third parties. However, at least one partner must have management rights and representation responsibility. Decisions are taken by majority vote.

What are the Required Documents for Establishing a Limited Company?

Certain documents must be prepared for the establishment of a limited company. The required documents for establishing a limited company are generally as follows:

  • An establishment notification form must be prepared, in which the headquarters address, the capital amount of the company, the capital ratios of the partners, the company representative, or the company title are written for the company to be established.
  • Different documents are required if the partners of the company are natural persons and if they are legal entities. A chamber registration declaration must be submitted for limited companies established by legal entities.
  • Personal information of all partners must be submitted. A residence certificate, passport photo, and photocopy of the identity card belonging to each partner must be provided.

  • Partners must provide a receipt showing that they have deposited their capital. A certain share must also be paid to the Competition Authority. After this share is paid, its receipt must be shown.

You can easily establish a limited company by following several steps. A limited company is preferred by many people due to its easy establishment process and flexible structure. There are some rules you need to pay attention to when establishing a limited company. The cost of establishing a limited company changes in 2026, just like every year. The capital amount is limited by laws to a minimum amount. However, in addition to capital, some costs may also arise during establishment. Furthermore, you may encounter additional payments such as lawyer fees when establishing a limited company. Costs may also vary depending on the province where you plan to establish the limited company. The establishment cost is a one-time fee. The most common taxes/deductions encountered in limited companies are generally as follows:

  • Stamp Tax: It can come into question in many legal transactions such as rental agreements, service contracts, powers of attorney, and tender/purchasing processes. In which transaction and at what rate the stamp tax will be applied varies depending on the type of document.
  • Value Added Tax (VAT): It is a consumption tax calculated on sales of goods or services. The company collects VAT on behalf of the final consumer, declares it, and pays it to the state. The VAT rate can be 1%, 10%, or 20% depending on the nature of the goods/services.
  • Advance Tax (Provisional Tax): It is the periodic (usually quarterly) advance payment of corporate tax during the year. It is deducted from the corporate tax calculated at the end of the period; meaning it does not create a tax "for the second time" on the same earnings, but regulates the cash flow within the year.
  • Corporate Tax: Limited companies are subject to corporate tax, not income tax. The annual corporate tax return is submitted within the legal period after the closing of the relevant year (usually in April for companies using the calendar year).
  • Withholding / Withholding and Premium Service Declaration: It is the declaration in which the taxes deducted from the payments made by the company (e.g., wage withholding, independent professional services payment withholding, etc.) and Social Security Institution (SGK) notifications regarding employees are declared. Declaration periods can be monthly or quarterly depending on the company's status.

How Much Tax Does a Limited Company Pay?

The taxes to be paid by limited companies may vary according to the earnings obtained and the transactions carried out. However, companies calculate and declare taxes based on the rates determined in the relevant legislation.

For example, if a business generated 2,000,000 TL of taxable profit throughout the year, the corporate tax it needs to pay would be 500,000 TL based on a 25% corporate tax rate.

Similarly, VAT is calculated according to the type of sale made and the rate applied. For example, if a turnover of 200,000 TL (excluding VAT) was obtained from the sale of a product/service subject to a 20% VAT rate, the calculated VAT amount is 40,000 TL.

What are the Differences Between Limited Liability and Joint Stock Companies?

Below, I have summarized the most fundamental distinctions within a clearer framework:

  • Public offering / stock exchange: Limited liability companies cannot go public. Joint stock companies, on the other hand, can go public and their shares can be traded on the stock exchange if they meet the necessary conditions.
  • Minimum capital: The minimum capital required to establish a joint stock company is 250,000 TL. For a limited liability company, the minimum capital is 50,000 TL.
  • Limit on the number of shareholders: The number of shareholders in limited liability companies can be a maximum of 50. In joint stock companies, there is no upper limit on the number of shareholders.
  • Liability of shareholders (especially public debts): In a joint stock company, the primary obligation of shareholders is to pay their committed capital share. In a limited liability company, however, shareholders can be held liable for public debts that cannot be collected from the company, in proportion to their capital shares. For example, if a shareholder's stake is 50%, liability may arise for 50% of the public debts.
  • Capital blockage prior to registration: In joint stock companies, it may be required to deposit and block the capital amount in a bank prior to registration under certain conditions. In limited liability companies, there is no such general requirement.
  • Obligation to retain an attorney: In joint stock companies, an obligation to retain an attorney may arise (depending on the capital size). In limited liability companies, as a rule, there is no such obligation.

Can a Limited Company be Converted into a Joint Stock Company?

It is possible to convert a limited company into a joint stock company. In order to carry out this conversion, the change of company type must first be approved by the general assembly. However, general assembly approval alone is not sufficient; certain preparatory procedures must be completed before proceeding with the change of type.

As the first step, the company's latest balance sheet is prepared. Then, an equity determination report of the company is prepared by a sworn financial advisor (YMM). The sworn financial advisor also identifies and reports the company's assets subject to registration, such as real estate or intellectual property. Finally, a new articles of association suitable for the change of type is drafted, and the necessary registration and announcement procedures are carried out.

There is no specific time restriction specified in the legislation for converting a limited company into a joint stock company. Once the required conditions are met, the process can be initiated at any needed time.

What Can Be Deducted as Expenses in a Limited Company?

In a limited company, you can record certain expenditures that are directly related to your business activities and can be documented as expenses. In general, the main items you can deduct as expenses are as follows:

  • Office expenses: Fixtures and consumables necessary for the operation of the office, such as furniture, stationery, computers, and printers.
  • Rent expense: If you pay rent for an office/workplace, this amount can be written off as an expense.

If the committed capital is below this amount, a limited company cannot be established. In this case, you can examine alternatives that do not have a capital requirement or can be established at a lower cost (e.g., a sole proprietorship) and different company types.
  • If the number of partners exceeds 50: The number of partners in a limited company can be at most 50. For larger partnership structures, alternatives such as a joint-stock company should be considered.
  • If trade registry/chamber procedures are not finalized: The registration process must be completed for the establishment to take place. If the application is not accepted by the relevant authorities (trade registry/chamber) or if the registration cannot be made due to deficiencies or non-compliance, the establishment cannot be completed.
  • If the field of activity is unlawful: A company cannot be established for an illegal activity. It is mandatory for the field of activity to comply with the legislation.

Can Retirees Establish a Limited Company?

Retirees can legally establish a limited company and engage in commercial activities in Turkey. According to the Social Security Institution (SGK) legislation, a retired person can be a company partner or director.

However, in cases such as the retired person actively working within the company or assuming a duty that requires them to be considered insured under 4/a (SSK), different consequences may arise regarding the retirement pension. In this context, the suspension of the retirement pension may be in question, or in some cases, the payment of a Social Security Support Premium (SGDP) may be required.

How to Choose a Limited Liability Company Name?

Limited liability companies must pay attention to certain core criteria when choosing a trade name. First of all, the phrase “Limited Şirketi” (or its abbreviation) must be included in the title. Additionally, the trade name is expected to reflect the company's business subject/field of activity.

Furthermore, before determining a name, you must check the trade registry records to ensure that the name you are considering has not already been taken by another business. This is because registering a name that is identical or indistinguishably similar to an existing one is generally not possible.

For example, if you want to adopt the trade name “X İnşaat Limited Şirketi” but a business is already registered under the name “X İnşaat Anonim Şirketi”, you cannot use this title without adding a distinctive modifier (e.g., a different phrase, a second word, or a brand element). Therefore, it is important to ensure that the name complies with regulations and is clearly distinguishable from similar ones.
